Terms of Service

1. Acceptance of Terms
By installing or using WholesaleKit ("the App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not install or use the App. These Terms constitute a legally binding agreement between you and WholesaleKit. Your use of the App is also subject to Shopify's Terms of Service and any applicable Shopify policies, which apply alongside these Terms.
2. Eligibility
The App is intended for business use only. By using WholesaleKit, you represent that:
- You are at least 18 years of age
- You have the legal authority to bind your business to these Terms
- You are a Shopify merchant with a valid Shopify store or an authorized user of such a store
3. Description of Service
WholesaleKit is a Shopify application that enables merchants to manage wholesale customers, tiered pricing, net terms, and order workflows. The App provides a buyer portal, optional sales representative ordering capabilities, and storefront integration for displaying wholesale prices.
4. Subscription & Billing
- The App offers three subscription tiers: Starter ($49/mo), Professional ($99/mo), and Enterprise ($199/mo)
- All plans include a 14-day free trial
- Billing is handled through Shopify's app billing system and appears on your Shopify invoice
- You may cancel at any time through your Shopify admin
- No refunds are provided for partial billing periods upon cancellation
- We reserve the right to change pricing with 30 days' notice; existing subscribers will be grandfathered for 60 days
5. Feature Access & Tier Restrictions
Certain features are only available on higher subscription tiers. Attempting to access restricted features will result in an upgrade prompt. We may add, modify, or remove features at any time. Material feature removals will be communicated with at least 30 days' notice.
6. Your Responsibilities
As a merchant using WholesaleKit, you are responsible for:
- Maintaining the accuracy of customer data you enter into the system
- Complying with applicable laws regarding wholesale transactions, net terms, and debt collection in your jurisdiction
- Ensuring your buyers are informed about how their data is processed (as required by GDPR and similar regulations)
- Securing access to your Shopify admin and WholesaleKit settings
7. Acceptable Use
You agree not to:
- Use the App for unlawful purposes
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the App's operation
- Resell or redistribute access to the App
- Use the App to send unsolicited communications (spam) to buyers
- Circumvent subscription tier restrictions or rate limits
- Reverse engineer, decompile, or disassemble any part of the App
8. Intellectual Property
WholesaleKit and all associated code, design, trademarks, and documentation are the exclusive property of WholesaleKit. Your subscription grants you a limited, non-exclusive, non-transferable license to use the App for its intended purpose.
You retain all rights to your data (customer information, orders, pricing rules). We claim no ownership over your content.
9. Data & Privacy
Your use of the App is also governed by our Privacy Policy. We process data as necessary to provide the service and comply with Shopify's data protection requirements. You acknowledge that you have read and agree to our Privacy Policy.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by:
- Shopify platform outages or API changes
- Scheduled maintenance (communicated in advance when possible)
- Force majeure events
- Third-party service provider outages
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHOLESALEKIT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL WHOLESALEKIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless WholesaleKit, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your violation of these Terms
- Your use of the App in a manner not authorized by these Terms
- Your violation of applicable laws or regulations in connection with wholesale transactions
- Any dispute between you and your wholesale buyers regarding orders, pricing, or payment terms
13. Termination
By you: You may terminate by uninstalling the App from your Shopify store at any time. Upon uninstall, your data will be permanently deleted within 48 hours.
By us: We may suspend or terminate your access if you:
- Violate these Terms
- Fail to pay subscription fees
- Use the App in a way that poses a security risk
- Engage in abusive behavior toward our systems or staff
For non-urgent violations, we will provide 14 days' notice and an opportunity to remedy the issue before termination.
14. Dispute Resolution
If a dispute arises, you agree to first attempt to resolve it informally by contacting us. If the dispute cannot be resolved within 30 days, either party may pursue formal resolution.
Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in California, United States. Each party shall bear its own costs.
Class action waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or class-wide arbitration.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and WholesaleKit regarding your use of the App and supersede any prior agreements.
18. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the App after changes constitutes acceptance of the new Terms. If you do not agree with the changes, you must uninstall the App before they take effect.
